These Terms of Service ("Terms") govern your access to and use of the Zapload platform, website, and related services (collectively, the "Service") operated by Zapload ("we," "us," or "our"), a business operating in Ontario, Canada.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

"Carrier" means a trucking company or owner-operator that subscribes to use the Service through an admin account.

"Admin" or "Dispatcher" means an authorized user who manages a Carrier's account, including managing drivers, trucks, documents, and settings.

"Driver" means an individual authorized by a Carrier to submit documents through the Service.

"Documents" means any photos, scans, PDFs, or files uploaded to the Service, including but not limited to BOLs, PODs, customs documents, receipts, and safety certificates.

"Tenant" means a unique Carrier account identified by a Tenant ID within the Service.

2. Eligibility and Account Registration

The Service is intended for commercial use by trucking carriers, freight brokers, and logistics companies operating in Canada and/or the United States. By using the Service, you represent that you are at least 18 years old and have the authority to bind the Carrier to these Terms.

Each Carrier account is created by Zapload and assigned a unique Tenant ID, admin password, and access code. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3. Service Description

Zapload provides a browser-based document capture, storage, and management platform for the trucking industry. Key features include:

• Driver document submission via mobile web browser (no app download required)
• Secure cloud storage of uploaded documents
• Admin dashboard for document review, approval, and management
• Fleet management (drivers and trucks)
• Document forwarding and factoring email integration
• Truck safety document management with QR code access

4. Acceptable Use

You agree to use the Service only for lawful purposes related to trucking and logistics document management. You shall not:

• Upload fraudulent, forged, or misleading documents
• Use the Service to harass, spam, or send unsolicited communications
• Attempt to gain unauthorized access to other Carriers' accounts or data
• Use the Service to store illegal content or content unrelated to trucking operations
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Exceed reasonable usage limits or attempt to disrupt the Service through automated requests
• Share your admin credentials or access codes with unauthorized individuals
• Use the email features of the Service to send spam or unsolicited bulk email

5. Subscription and Payment

The Service is offered on a monthly subscription basis. Pricing is communicated at the time of account creation and may be updated with 30 days' written notice.

• Payment is due monthly in advance via the agreed-upon payment method (e-transfer, credit card, or invoice).
• If payment is not received by the billing date, your account may be suspended. Suspended accounts cannot accept new document submissions, and admin/driver access may be restricted.
• We do not offer refunds for partial months of service.
• You may cancel your subscription at any time by contacting us. Cancellation takes effect at the end of the current billing period.

6. Data Ownership and Intellectual Property

You grant us a limited license to store, process, transmit, and display Your Data solely for the purpose of providing the Service to you.

The Zapload platform, including its design, code, branding, and documentation, is owned by Zapload and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

7. Data Storage and Security

Documents are stored securely using Google Cloud infrastructure (Google Drive and Google Sheets). We implement reasonable security measures including:

• Session-based authentication with automatic expiry
• Server-side password validation (passwords are never stored or transmitted to the browser)
• Per-tenant data isolation
• Access controls for drivers and admins
• Automated daily backups

While we take reasonable measures to protect your data, no method of electronic storage or transmission is 100% secure. We cannot guarantee absolute security.

8. Data Retention and Deletion

Your Data is retained for as long as your account is active. Upon account cancellation or termination:

• We will retain Your Data for 90 days to allow you to export or retrieve it.
• After 90 days, we may permanently delete Your Data from our systems.
• You may request earlier deletion by contacting us at admin@zapload.app.

Backup copies may persist in our backup systems for up to an additional 30 days after deletion.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Zapload is a document capture and storage tool only. We are not responsible for the accuracy, completeness, legality, or validity of any documents uploaded to the Service. Carriers are solely responsible for verifying the authenticity of documents submitted by their drivers.
• We are not a compliance service. The Service does not guarantee compliance with FMCSA, CVOR, Transport Canada, CBSA, or any other regulatory requirements. Carriers are responsible for their own regulatory compliance.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
• Our total liability for any claim arising from these Terms or the Service shall not exceed the total fees paid by you to Zapload in the 12 months preceding the claim.
• We are not liable for service interruptions caused by Google infrastructure, internet connectivity, or other factors beyond our reasonable control.

10. Indemnification

You agree to indemnify, defend, and hold harmless Zapload and its owners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Any documents uploaded to the Service by you or your authorized users
• Any dispute between you and your drivers, brokers, or other third parties

11. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may:

• Perform scheduled or emergency maintenance that temporarily reduces availability
• Modify, update, or discontinue features with reasonable notice
• Set and enforce usage limits to maintain service quality for all users

12. Termination

Either party may terminate these Terms at any time:

• By you: Cancel your subscription by contacting admin@zapload.app. Access continues until end of current billing period.
• By us: We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, or if continued use poses a risk to the Service or other users.

Upon termination, your right to access the Service ceases. Sections 6, 9, 10, and 14 survive termination.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of Ontario, Canada.
